1. Use of This Platform
The website https://wesleymed.com/ (the “Website”, “Site”, or “Platform”) and any Wesley retail stores are operated by Dillo Uniforms (“Wesley”, “we”, “us”, “our”, or the “Company”), a company incorporated under the laws of India and having its registered office at 33/3 /33/4, Ganapathy, Ganapathy, Mamarathootam, Coimbatore, Coimbatore, 641006
The Platform provides for the online and retail sale of clothing, apparel, fashion accessories, and other products offered by Wesley from time to time (collectively, the “Products”).
By accessing, browsing, or using the Platform through a computer, mobile device, application, or any other means, you (“you”, “user”, or “customer”) acknowledge that you have read, understood, and agree to be bound by these Terms of Use. Your use of the Platform is also governed by our Privacy Policy, Shipping Policy, Return and Refund Policy, and any other policies displayed on the Platform (collectively, the “Policies”).
This document is an electronic record generated under applicable laws governing electronic records and transactions and does not require a physical or digital signature.
The Platform is intended for personal, lawful use. If you do not accept these Terms or any applicable Policy, you must discontinue using the Platform. You are responsible for ensuring that your access to and use of the Platform comply with the laws applicable in your location.
We may amend these Terms and the Policies when necessary. Updated versions will be published on the Platform with a revised effective date. Unless otherwise stated, changes take effect when posted. Your continued use after an update constitutes acceptance of the revised terms.
2. Eligibility and Your Account
You may use the Platform and place orders only if you can form a legally binding contract under applicable law. A minor may use the Platform only with the involvement and consent of a parent or legal guardian.
If you use the Platform on behalf of another person or organization, you represent that you have authority to bind that person or organization to these Terms.
You are responsible for:
-
providing accurate, complete, and current information;
-
keeping your username, password, and other account credentials confidential;
-
all activity conducted through your account; and
-
promptly notifying us if you suspect unauthorized access or misuse.
We may require a password reset or suspend, restrict, or terminate an account where reasonably necessary to protect the Platform, our customers, or the Company, or where these Terms have been violated.
Personal information collected through your account or use of the Platform will be handled according to our Privacy Policy.
3. Privacy Policy
Your access to and use of the Platform are governed by the Wesley Privacy Policy, available at [Privacy Policy URL]. By using the Platform, you acknowledge that you have read and understood that policy.
4. Product Information
We make reasonable efforts to ensure that descriptions, photographs, colours, fabrics, materials, measurements, size charts, care instructions, prices, and availability are accurate. However:
-
colours may appear differently depending on photography, lighting, and screen settings;
-
minor variations in texture, finish, stitching, print placement, measurements, or colour may occur between production batches;
-
size charts are indicative guides, and fit may vary by style, material, and body type; and
-
packaging and product presentation may change without materially affecting the Product.
Such minor variations will not ordinarily be treated as defects. Customers should review the relevant Product page, size chart, care instructions, and return eligibility before ordering.
Any taxes, delivery charges, handling fees, or customization charges will be disclosed during checkout before payment is completed.
5. Orders and Formation of Contract
Placing an order constitutes an offer to purchase the selected Products subject to these Terms. After you place an order, we may send an email, SMS, or other message acknowledging receipt (“Order Confirmation”). This acknowledgement does not necessarily constitute acceptance.
A binding contract of sale is formed when we confirm acceptance or dispatch the ordered Product, depending on the order process displayed on the Platform.
Before dispatch, we may refuse, modify, or cancel an order where reasonably necessary, including because of:
-
incorrect pricing, Product information, or technical errors;
-
Product or inventory unavailability;
-
payment failure or suspected fraudulent activity;
-
government restrictions or legal requirements;
-
delivery limitations;
-
suspected bulk buying for unauthorized resale; or
-
misuse of discounts, coupons, promotional offers, or loyalty benefits.
Where appropriate, we may contact you for instructions. If payment has been collected for a cancelled order, the applicable amount will be refunded to the original payment method, subject to payment-provider processing timelines.
6. Pricing and Payment
Prices are displayed in the currency shown on the Platform. Applicable taxes and duties may be included or added as stated on the Product page or at checkout. Shipping, handling, cash-on-delivery, or customization charges, where applicable, will be shown separately before payment.
Available payment methods may include credit or debit cards, UPI, net banking, digital wallets, cash or pay on delivery, and other options displayed at checkout. By providing payment information, you confirm that you are authorized to use the selected payment method.
Payment may be processed before dispatch. If an order is cancelled after payment, the refund will be initiated according to the applicable refund policy.
If a genuine pricing error occurs, we may cancel the affected order and refund the amount paid, even if an automated confirmation has been issued, subject to applicable consumer law.
7. Promotions and Discount Codes
Promotions, discount codes, gifts, loyalty benefits, and limited-period offers are subject to their stated eligibility, validity, availability, and redemption conditions. Unless expressly permitted:
-
promotions cannot be combined;
-
a code may be limited to one use per customer or account;
-
promotional benefits cannot be exchanged for cash; and
-
we may reject or cancel transactions involving misuse, manipulation, duplicate accounts, or unauthorized resale.
8. Shipping and Delivery
Please refer to our [Shipping Policy URL], which forms part of these Terms.
Delivery dates are estimates unless expressly guaranteed. Delays may occur because of courier operations, weather, public events, address issues, customs, government restrictions, or other circumstances outside our reasonable control.
You are responsible for providing a complete and accurate delivery address and for being available to receive the order. Additional costs resulting from incorrect information, repeated delivery attempts, refusal of delivery, or unclaimed shipments may be charged where permitted.
9. Cancellations, Returns, Exchanges, and Refunds
Please review our return & refund policy, which forms part of these Terms and describes eligibility periods, excluded Products, Product-condition requirements, return shipping, exchange procedures, and refund timelines.
Customized, personalized, altered, clearance, hygiene-sensitive, or final-sale Products may be excluded from return or exchange where clearly disclosed and permitted by law.
Nothing in these Terms limits any non-waivable consumer rights available under applicable law.
10. Product Care and Use
You are responsible for following the care, washing, storage, and usage instructions provided with a Product or displayed on its Product page. Damage caused by misuse, incorrect washing, improper storage, unauthorized alteration, normal wear and tear, or failure to follow care instructions may not qualify as a manufacturing defect.
11. Your Conduct
You must not use the Platform in a way that is unlawful, fraudulent, abusive, harmful, or likely to interrupt, damage, or impair it. Prohibited conduct includes:
-
using data-mining, robots, scraping, or similar extraction tools without written permission;
-
introducing malware, viruses, or harmful code;
-
attempting unauthorized access through hacking, phishing, credential stuffing, or similar methods;
-
interfering with Platform security, performance, or another user's access;
-
reverse engineering, decompiling, or attempting to derive source code except where legally permitted;
-
creating fake or duplicate accounts;
-
posting false, misleading, unlawful, defamatory, or infringing content or reviews;
-
misusing discounts, coupons, returns, refunds, loyalty benefits, or promotions; and
-
purchasing Products for unauthorized commercial resale or in a manner intended to harm Wesley's legitimate business interests.
We may remove content, restrict access, cancel affected orders, or suspend or terminate an account for violations of this section.
12. Reviews and User Content
You may be able to submit Product reviews, ratings, photographs, questions, comments, or other content. You confirm that content you submit:
-
is accurate and based on a genuine experience where represented as such;
-
is lawful and not misleading, abusive, obscene, or defamatory;
-
does not infringe intellectual-property, privacy, publicity, or other rights; and
-
does not contain malware, unauthorized advertising, or confidential information.
By submitting content, you grant Wesley and Dillo Uniforms a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt, publish, display, and use the content in connection with the Platform and Wesley marketing, subject to applicable law.
We may remove, edit, or decline to publish content that violates these Terms or applicable law.
13. Intellectual Property Rights
The Wesley name, logo, brand elements, Product names, designs, photographs, videos, graphics, sizing charts, written content, website design, and software are owned by or licensed to [Legal Entity Name] and are protected by applicable intellectual-property laws.
Subject to these Terms, we grant you a limited, revocable, non-transferable, and non-exclusive licence to access and use the Platform for personal, non-commercial purposes.
You may not, without prior written permission:
-
copy, reproduce, modify, republish, distribute, sell, license, or create derivative works from our content;
-
use Wesley trademarks, logos, meta tags, or brand elements;
-
frame or mirror the Platform; or
-
create a link that falsely implies endorsement, affiliation, or sponsorship.
No ownership rights are transferred to you through your use of the Platform.
14. Third-Party Services and Links
The Platform may integrate with payment gateways, logistics providers, analytics services, maps, social-media platforms, authentication or OTP providers, and other third-party services.
Those services are controlled by their respective providers and may be governed by separate terms and privacy policies. To the extent permitted by law, Wesley is not responsible for a third party's availability, content, security, acts, omissions, or performance.
15. Platform Availability
We use commercially reasonable efforts to keep the Platform available and functioning. However, we do not guarantee uninterrupted, timely, secure, or error-free access.
Access may be suspended or restricted for maintenance, upgrades, repairs, security incidents, system failures, technical issues, or other operational reasons. We may modify or discontinue features where reasonably necessary, subject to applicable law.
16. Force Majeure
We will not be responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, fire, epidemic or public-health emergency, war, terrorism, civil unrest, labour disputes, transport or courier disruption, internet or utility failure, payment-gateway or cloud-service outage, cyberattack, material shortage, government action, sanctions, embargoes, judicial orders, or changes in law (“Force Majeure Event”).
Our affected obligations will be suspended for the duration of the Force Majeure Event, and we will have a reasonable extension of time to perform them. We will use reasonable efforts to reduce the impact and resume operations. Nothing in this section limits rights that cannot legally be excluded.
17. Disclaimer of Warranties
The Platform and its content are provided on an “as is” and “as available” basis. Although we take reasonable care, we do not warrant that the Platform will always be uninterrupted, secure, error-free, complete, accurate, or free of harmful components.
To the fullest extent permitted by law, we disclaim implied warranties and conditions, including merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, and compatibility. This disclaimer does not exclude any guarantee, warranty, or remedy that cannot lawfully be excluded.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Wesley, [Legal Entity Name], and their affiliates, officers, directors, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, punitive, exemplary, or consequential loss, including loss of profit, revenue, opportunity, goodwill, anticipated savings, or data, arising from:
-
use of or inability to use the Platform;
-
interruption, suspension, or unavailability;
-
inaccurate or incomplete content;
-
unauthorized alteration, corruption, or loss of data;
-
viruses, malware, technical failures, or linked third-party services;
-
delivery delays outside our reasonable control; or
-
a Force Majeure Event.
Subject to mandatory law, our total liability relating to a particular Product, order, or claim will not exceed the amount you paid for the Product or order giving rise to that claim.
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.
19. Indemnity
To the extent permitted by law, you agree to indemnify Wesley, [Legal Entity Name], and their affiliates, directors, officers, employees, agents, licensors, and service providers against claims, liabilities, losses, penalties, and reasonable legal costs arising from:
-
your material breach of these Terms;
-
your unlawful or fraudulent use of the Platform;
-
content submitted by you;
-
infringement of another person's rights; or
-
your wilful misconduct or negligent acts.
We may assume control of the defence of a matter subject to indemnification, and you agree to provide reasonable cooperation. You must not settle a claim imposing an obligation on Wesley without our prior written consent.
20. Governing Law and Dispute Resolution
These Terms and the Policies are governed by the laws of India.
Before commencing formal proceedings, you and Wesley should first attempt to resolve the dispute through the contact and grievance process below.
Subject to applicable consumer law, any dispute arising from these Terms, the Policies, use of the Platform, or an order may be referred to arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration will be conducted by a sole arbitrator mutually appointed by the parties. If the parties cannot agree on the appointment, it will be made in accordance with applicable law.
The arbitration will be conducted in English. The seat and venue will be [City, State, India].
Subject to the arbitration provision and any mandatory consumer forum jurisdiction, courts in [City, State, India] will have jurisdiction over related proceedings. Either party may seek urgent or interim relief from a court of competent jurisdiction where legally available.
21. Termination
We may suspend or terminate your access to the Platform if you materially violate these Terms, misuse the Platform, engage in suspected fraud, or create a security or legal risk.
Sections that by their nature should survive termination—including intellectual property, liability, indemnity, dispute resolution, and miscellaneous provisions—will remain in effect.
22. Miscellaneous
If a provision is held invalid or unenforceable, it will be severed or limited to the minimum extent necessary, and the remaining provisions will continue in effect.
A failure or delay in exercising a right does not waive that right. A waiver must be made expressly in writing.
These Terms, together with the Policies and notices incorporated by reference, constitute the entire agreement governing your use of the Platform and purchase of Products.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may transfer our rights or obligations in connection with a merger, acquisition, restructuring, sale of assets, business transfer, or operation of law.
Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, employment, or franchise relationship between you and Wesley.
We may provide notices electronically, including by email, account notification, or publication on the Platform, in accordance with applicable law.
Headings are for convenience and do not affect interpretation.
